Terms of Service

01. Acceptance of Terms

By accessing or using any website operated by Shasha Technology — including shashatechnology.com, shashatools.com, stelt.ai, or any client website hosted on our infrastructure — or by engaging us for software development services, you agree to be bound by these Terms of Service.

If you do not agree with any part of these terms, you must not use our services.

02. Description of Services

Shasha Technology provides:

• Custom website design and development for individuals and small businesses
• Web tools and calculators available freely on shashatools.com
• AI-powered platforms and integrations (chat agents, voice agents, automation tools)
• Hosting and ongoing maintenance on our managed VPS infrastructure
• Lead capture and form management via integrated third-party services

03. Service Tiers & Pricing

Client websites are offered across three tiers:

• Tier 1 — Basic Site: Static website with all standard pages, JotForm-powered lead capture, and Pulse analytics.
• Tier 2 — Chat-Enabled: Tier 1 features plus a Claude-powered chat agent for visitor interactions.
• Tier 3 — Voice + Chat Enabled: Tier 2 features plus voice interaction capability via ElevenLabs and Whisper.

Specific pricing is provided in writing during the onboarding process. We reserve the right to adjust tier pricing for new clients with at least 30 days' notice to existing clients.

04. Client Obligations

By engaging Shasha Technology for services, you agree to:

• Provide accurate information about your business, content, and requirements
• Respond to project communications and content requests in a timely manner
• Own (or have rights to) all content, images, logos, and materials you provide for use on your website
• Pay all fees in accordance with the agreed payment schedule
• Not engage in any activity that violates applicable laws or these Terms
• Maintain the confidentiality of any admin credentials we provide you

05. Our Obligations

Shasha Technology agrees to:

• Build, deliver, and maintain your services in good faith and with reasonable skill
• Treat your business data, customer data, and form submissions as strictly confidential
• Provide reasonable uptime on our hosting infrastructure (target: 99% monthly)
• Notify you of significant service changes, planned maintenance, or pricing updates
• Provide reasonable support for issues related to services we deliver

06. Payment & Billing

Payment terms vary by service type:

• Project work (custom websites, software builds) is invoiced according to the milestones agreed during onboarding.
• Monthly hosting and maintenance is billed monthly in advance via PayPal.
• Late payments beyond 14 days may result in suspension of services until the account is brought current.
• Refunds for monthly subscriptions are not offered for partial months. Project work refunds are governed by the specific project agreement.

07. Intellectual Property

Client-owned content

You retain full ownership of all content, brand assets, and customer data you provide or generate through your website.

Shasha Technology-owned IP

Shasha Technology retains ownership of:

• Our proprietary code frameworks and reusable components
• The Pulse analytics system and infrastructure
• Our brand, logos, and marketing materials
• Site templates we develop, except where exclusively licensed to you in writing

Upon full payment for project work, you receive a perpetual, royalty-free license to use the delivered website for your business. Source code remains licensed, not transferred, unless explicitly stated otherwise in your project agreement.

08. Prohibited Use

You may not use our services to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Send spam, phishing emails, or unsolicited communications
• Host content that is defamatory, obscene, or promotes violence
• Attempt to gain unauthorised access to our systems or other clients' data
• Reverse-engineer, decompile, or extract source code from our proprietary systems

09. Termination

Either party may terminate the service relationship with 30 days' written notice. Shasha Technology may terminate immediately if:

• You materially breach these Terms
• You fail to pay fees that are more than 30 days overdue
• You use our services for prohibited purposes
• Continued service would expose Shasha Technology to legal liability

Upon termination, we will provide you with a copy of your data and remove your site from our infrastructure within 30 days, unless legal obligations require longer retention.

10. Disclaimers & Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive for high availability, we do not guarantee that our services will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law:

• Shasha Technology shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from these Terms or our services shall not exceed the total fees you have paid us in the 12 months preceding the claim
• We are not responsible for losses caused by third-party services (e.g., JotForm outages, hosting provider issues, AI provider downtime)

12. Governing Law

These Terms are governed by the laws of the Republic of Trinidad and Tobago. Any disputes arising from these Terms will be resolved in the courts of Trinidad and Tobago, unless otherwise required by applicable law.

13. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date reflects the most recent revision. Material changes will be communicated to active clients via email at least 30 days before they take effect. Continued use of our services after changes constitutes acceptance.
